LexOps HQ™ Terms of Use
Effective Date: August 31, 2026
These Terms of Use (“Terms”) govern your access to and use of the LexOps HQ™ website, products, services and materials, including the purchase and use of Knowledge OS™. By accessing this website, purchasing a LexOps HQ™ product, or otherwise using our products, services or materials, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the LexOps HQ™ website, purchasing or using any LexOps HQ™ product or service, or accessing any materials made available by LexOps HQ™, you confirm that you have read, understood and agree to be bound by these Terms. If you are purchasing or using a LexOps HQ™ product on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Knowledge OS™ Licence
Knowledge OS™ and other LexOps HQ™ products are licensed, not sold. Subject to payment of the applicable licence fee and compliance with these Terms, LexOps HQ™ grants the purchasing organization a limited, non-exclusive, non-transferable licence to use the applicable version of Knowledge OS™ for its internal legal department operations.
3. Permitted Use and Restrictions
You may use Knowledge OS™ and other licensed LexOps HQ™ products solely for your organization’s internal business purposes. You may adapt and customize the materials for internal use within your organization, but you may not resell, sublicense, distribute, publish, share or otherwise make the products or materials available outside your organization. You may not use any LexOps HQ™ product or material to create, develop or offer a competing product, service, template library, framework or commercial offering.
4. Intellectual Property Rights
LexOps HQ™ and its licensors retain all right, title and interest in and to Knowledge OS™, all other LexOps HQ™ products, and all associated materials, frameworks, methodologies, processes, documentation, designs, content, trademarks and other intellectual property. Except for the limited licence expressly granted under these Terms, no ownership rights are transferred to you or your organization.
Any modifications, adaptations or internal configurations you make to licensed LexOps HQ™ materials for your organization’s internal use do not transfer ownership of the underlying LexOps HQ™ intellectual property.
5. Fees, Payment and Taxes
All fees are stated in the currency identified at the time of purchase and are payable in accordance with the applicable order or checkout terms. Unless otherwise stated, licence fees are one-time fees for the applicable licensed version and are non-refundable once access to the licensed materials has been provided, except where required by applicable law.
Prices do not include applicable sales, use, value-added, GST/HST or similar taxes unless expressly stated. Where LexOps HQ™ is required by law to collect applicable taxes, those taxes will be added to the amount payable.
6. Maintenance, Updates and Support
Where maintenance is included with your purchase, it applies for the period specified at the time of purchase. During an active maintenance period, you may receive applicable updates, improvements and maintenance releases for the licensed version of the product.
Unless otherwise stated, the Knowledge OS™ Organizational Version Licence includes twelve (12) months of maintenance. Your licence to continue using the version you purchased does not expire when the included maintenance period ends. Continued maintenance, updates and support may be purchased separately at the then-current applicable rate.
Major new versions, separately released products and other LexOps HQ™ operating systems are not included unless expressly stated.
7. No Professional or Legal Advice
LexOps HQ™ products and materials are provided as operational resources and are not legal advice, financial advice, tax advice or other professional advice. They are designed to support legal operations functions and should be adapted and implemented in accordance with your organization’s circumstances, policies, legal requirements and professional judgment.
You are responsible for determining whether any LexOps HQ™ product, framework, process or material is appropriate for your organization.
8. Confidentiality and Customer Information
Knowledge OS™ is designed to be implemented within your organization’s own environment. LexOps HQ™ does not require access to your organization’s confidential legal documents, privileged information or other confidential business information for you to use the licensed product.
If you voluntarily provide information to LexOps HQ™ in connection with support or other services, that information will be handled in accordance with applicable law and the LexOps HQ™ Privacy Policy.
9. Third-Party Platforms and Services
LexOps HQ™ products may be designed for use with or implemented through third-party technologies, platforms or services, including platforms such as Microsoft SharePoint. LexOps HQ™ does not own, operate or control those third-party services and is not responsible for their availability, performance, security, functionality, pricing or terms.
Your use of any third-party platform or service is governed by your agreement with the applicable third-party provider.
10. Disclaimer of Warranties
To the maximum extent permitted by applicable law, LexOps HQ™ products, website, materials and services are provided on an “as is” and “as available” basis. LexOps HQ™ does not warrant that any product or material will meet every organization’s particular requirements or produce any specific business, operational, financial or legal outcome.
LexOps HQ™ does not guarantee that the website or any electronic materials will always be uninterrupted, error-free or free from harmful components.
11. Limitation of Liability
To the maximum extent permitted by applicable law, LexOps HQ™ will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business opportunities, data, goodwill or anticipated savings arising out of or relating to your use of the website, products, services or materials.
To the maximum extent permitted by applicable law, LexOps HQ™’s aggregate liability arising out of or relating to a particular product, service or these Terms will not exceed the amount actually paid by you to LexOps HQ™ for the product or service giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless LexOps HQ™ from claims, losses, liabilities, damages, costs and reasonable expenses arising from your unauthorized use, reproduction, distribution or commercialization of LexOps HQ™ products or materials, your violation of these Terms, or your infringement of the rights of a third party through your use of the products or services.
13. Termination
LexOps HQ™ may suspend or terminate access to products, services, updates or support if you materially breach these Terms, including by failing to pay applicable fees or by using or distributing licensed materials in a manner that violates the licence granted to you.
Termination does not automatically revoke your right to use a properly purchased version of Knowledge OS™ unless the termination results from a material breach of the licence or intellectual property provisions of these Terms.
Provisions that by their nature should survive termination, including intellectual property rights, payment obligations, disclaimers, limitations of liability, indemnification and governing law, will survive.
14. Changes to These Terms
LexOps HQ™ may update these Terms from time to time to reflect changes to its products, services, business practices or legal requirements. The revised Terms will be posted on this website with an updated effective date.
Changes will apply prospectively unless otherwise required by law. Material changes affecting an existing paid licence will not retroactively remove licence rights already granted for the version properly purchased, except where required by law or agreed with the customer.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Subject to applicable law, any dispute arising out of or relating to these Terms, the LexOps HQ™ website or any LexOps HQ™ product or service will be submitted to the courts located in Ontario, Canada, and the parties consent to the jurisdiction of those courts.
16. General Terms
These Terms, together with any applicable order terms, licence terms and policies expressly incorporated by reference, constitute the agreement between you and LexOps HQ™ concerning your use of the applicable website, product or service.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. LexOps HQ™’s failure to enforce any provision will not constitute a waiver of that provision or any other right.
You may not assign or transfer your rights under these Terms without LexOps HQ™’s prior written consent. LexOps HQ™ may assign these Terms in connection with a reorganization, sale, merger, transfer of assets or other business transaction.
